Consultant Platform Agreement

This Consultant Platform Agreement ("Agreement") outlines the terms and conditions under which you may register and operate as an independent AI Consultant on the S8N Intelligence Hub.

1. Independent Contractor Status

You acknowledge and agree that your relationship with S8N is that of an independent contractor. Nothing in this Agreement creates an employer-employee, agency, partnership, or joint venture relationship. You are solely responsible for setting your fees, managing your working hours, and paying all applicable local and national taxes (including GST and TDS if applicable).

2. Deliverables & Intellectual Property

Unless otherwise agreed in writing between you and the Company in a specific statement of work, all intellectual property, source code, data pipelines, model weights, and documentation created by you during a consultation or project belong entirely to the client Company upon full release of payment from escrow. You agree to execute any assignments of IP required by the Company.

3. Professional Standards & Vetting

You agree to represent your professional experience, education, certifications, and skills accurately on your profile. S8N reserves the right to verify any credentials and run reference checks. You agree to pass our vetting standards to achieve and maintain "Certified", "Validated", or "Elite" tiers.

4. Payments & Platform Fees

Payments for your consultations will be handled through the Platform's Escrow Service. You agree that client payments will be held in escrow and released to your designated bank account only upon client approval of the consultation or project milestone. During the initial founding cohort phase, S8N charges a 0% platform fee. S8N reserves the right to introduce fees for future cohorts or services with prior notice.

5. Non-Circumvention

For a period of twelve (12) months from the date you are introduced to any Company through the Platform, you agree not to solicit, negotiate, or engage in any business relationship with that Company outside of the Platform, unless you pay S8N a circumvention fee or get express written approval.
